Job Description:
Corporate Paralegal
Summary
The Paralegal is responsible for supporting corporate legal matters
including particularly: preparation of materials related to
corporate matters and litigation support.
Salary 40-70K based on experience
Essential Duties and Responsibilities include the following. Other
duties may be assigned.
o Assists with the preparation of reports and registration
statements.
o Supports in-house review and processing of documents for document
preparation.
o Assists in drafting of summary reports, and conducts related
research and analysis.
o Assists in the preparation of documentation for amendments,
withdrawals, mergers and dissolutions of corporations, partnerships
and/or limited liability companies.
o Assists with contracts and contracts administration.
o Assists in auditing company subsidiaries.
o Assists with preparation and coordination due diligence for
transactions and preparation and review of disclosure schedules
required for such matters.
o Conducts legal research as requested
o Assists with preparation and coordination due diligence of new
business ventures.
o Helps maintain internal legal department files and updating legal
resources.
o Performs routine office duties such as, photocopying, scanning,
filing, etc.
o Ensures the timely processing and payment of invoices.
Education and/or Experience:
? Associate?s degree required.
? Minimum of five years of corporate paralegal experience.
? Certified Paralegal desired.
? Strong accounting background desirable.
? Prior experience working with contracts and contracts
administration preferred.
Computer Skills:
Must be Proficient in MS Office Suite, including MS Excel.
Other Skills and Abilities:
Preferably bilingual (Mandarin, Spanish or Portuguese)
? Excellent written and verbal communication skills.
? Demonstrates attention to detail.
? It is essential that this individual demonstrate the ability to
work with highly confidential information.
? Ability to work both independently and in a collaborative team
setting.
? Ability to manage both day-to-day operations as well as project
work.
? Ability to prioritize and multi-task successfully in a fast paced
environment.
